Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Downtown Social Pvt. Ltd. ("Downtown," "we," "us," or "our") governing your access to and use of the Downtown mobile application (available on Google Play Store and Apple App Store) and the website at downtownsocial.in (collectively, the "Platform").

By downloading the App, creating an account, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately stop using the Platform.

1. Eligibility

  • You must be at least 13 years of age to use the Platform. If you are under 18, you confirm you have the consent of a parent or guardian.
  • In certain EU jurisdictions the minimum age for consent is 16. By registering, you confirm you meet the applicable legal age of consent in your country.
  • Accounts registered by automated means or bots are strictly prohibited.
  • You may not create a new account if we have previously suspended or terminated your account for violations of these Terms.

2. Account Registration & Security

  • You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure.
  • You are solely responsible for all activity that occurs under your account. Notify us immediately at support@downtownsocial.in if you suspect unauthorized access.
  • We reserve the right to suspend accounts we determine to pose a security risk or to have violated these Terms.

3. License to Use the Platform

Subject to your compliance with these Terms, Downtown grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial purposes. This license does not include:

  • Selling, sublicensing, or commercially exploiting any part of the Platform.
  • Reverse-engineering, decompiling, or attempting to extract source code from the App.
  • Scraping, crawling, or harvesting data from the Platform by automated means.
  • Accessing or attempting to access internal APIs, databases, or spatial engines not documented for public use.

4. User Content & Intellectual Property

  • You own your content. You retain full ownership of any photos, videos, posts, or messages you submit to the Platform ("User Content").
  • Photos captured directly using your device camera through the App, and photos selected from your device photo library or media storage, are User Content and are subject to all provisions of this Section and the 7-day ephemeral deletion policy described in Section 5 when transmitted as messages or posts.
  • By submitting User Content, you grant Downtown a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, transmit, reproduce, and distribute that content solely for the purpose of operating and improving the Platform.
  • This license expires automatically when your content is deleted (including via the 7-day auto-deletion policy) or when you delete your account.
  • You represent and warrant that your User Content does not infringe the intellectual property, privacy, or other rights of any third party, and that any photo or image you capture or upload via the App was obtained with the knowledge and consent of any individuals depicted therein.
  • All rights in the App, website, trademarks, logos, designs, and proprietary data pipelines are owned exclusively by Downtown Social Pvt. Ltd.

5. Ephemeral Content Policy

  • All direct messages and channel messages transmitted through the Platform are automatically and permanently deleted from Downtown's production servers 7 days after they are sent. They cannot be recovered after this period.
  • All map markers and social posts are automatically removed from our systems 7 days after creation or last activity.
  • You acknowledge that Downtown makes no guarantees about message persistence or delivery beyond this window and should not be relied upon as a primary communication or archival system.

6. Prohibited Conduct

You agree not to use the Platform to:

  • Harass, bully, stalk, intimidate, threaten, or abuse any other user.
  • Post or transmit content that is unlawful, obscene, defamatory, hateful, or sexually exploitative, including any content involving minors.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Promote, facilitate, or engage in the sale of illegal substances, weapons, counterfeit goods, or any illegal services.
  • Distribute spam, chain letters, phishing messages, or unauthorized advertising.
  • Attempt to gain unauthorized access to other users' accounts or to Downtown's systems.
  • Deliberately post false, misleading, or fabricated location data or social events.
  • Use the location features to surveil, track, or monitor individuals without their knowledge or consent.
  • Use the camera feature to capture, record, or transmit images or video of any individual without their explicit knowledge and consent, including in private or semi-private settings.
  • Circumvent, disable, or interfere with any security features, pseudonymization layers, or content moderation systems of the Platform.

7. Content Moderation & Enforcement

Downtown reserves the right, but not the obligation, to review, monitor, and remove any User Content or to suspend or terminate accounts that, in our reasonable judgment, violate these Terms or applicable law. Our enforcement actions may include:

  • Content removal
  • Warning notifications
  • Temporary account suspension
  • Permanent account termination
  • Referral to appropriate law enforcement authorities

Enforcement decisions may be appealed by contacting support@downtownsocial.in. We are not obligated to provide appeals in cases involving illegal content or imminent safety threats.

8. Third-Party Services & Links

The Platform integrates with third-party services (e.g., Google Sign-In, Firebase, MapLibre). Your use of such third-party services is governed by their respective terms and privacy policies. Downtown is not responsible for the privacy practices or content of any third-party services.

9. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOWNTOWN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

DOWNTOWN IS A PLATFORM FOR USER-GENERATED, LOCATION-BASED CONTENT. WE ARE NOT RESPONSIBLE FOR REAL-WORLD EVENTS, INTERACTIONS, OR INCIDENTS THAT ARISE FROM CONNECTIONS MADE THROUGH THE PLATFORM. USERS INTERACT AT THEIR OWN RISK.

10. Indemnification

You agree to defend, indemnify, and hold harmless Downtown Social Pvt. Ltd., its affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Termination

  • By You: You may terminate your account at any time through App Settings → Account → Delete Account, or by submitting a request at our Data Rights Portal.
  • By Downtown: We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for violation of these Terms or for any other lawful reason.
  • Upon termination, your license to use the Platform immediately ceases. Sections regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of India, without regard to conflict-of-law principles.
  • Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India).
  • Users in the EU/EEA retain the right to bring claims before their local courts as required by applicable consumer protection law.
  • TO THE EXTENT PERMITTED BY LAW, YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS AGAINST DOWNTOWN.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated through the App or via email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and delete your account.
